Merchant Terms (Businesses Accepting Payments)

These Merchant Terms ("Merchant Terms") govern the acceptance of payments from your clients through the NewVia platform. They apply in addition to, and form part of, our Terms of Service. They are issued by NEWVIA SDN. BHD. (SSM Business Registration No. 202601032040 (1694135-H)), registered address 7-2, Plaza Danau 2, Jalan 2/109f, Taman Danau Desa, 58100 Kuala Lumpur, W.P. Kuala Lumpur, Malaysia ("NewVia", "we", "us"). In these Merchant Terms, "you" or "Merchant" means the business that uses NewVia to take bookings and payments, and "Client" means the end customer who books and pays for your services.
By enabling payments on your NewVia account, you agree to these Merchant Terms.
0. The NewVia Marketplace Model
0.1 NewVia operates a marketplace platform connecting independent wellness and beauty businesses with their clients. Each business sells its own services, under its own name, on a booking page powered by NewVia.
0.2 NewVia is the platform operator. NewVia is not a payment aggregator, payment facilitator of record, payment institution, money services business, collecting agent, or escrow provider, and does not aggregate merchant funds under a single master merchant account.
0.3 Each Merchant is onboarded as a sub-merchant (connected merchant) of a licensed payment provider under that provider's marketplace/platform API, and every transaction is processed as a split payment at provider level: the Merchant's share to the Merchant's own account, NewVia's platform fee to NewVia as a software fee, never as a charge for money transmission. 1. NewVia's Role — Technology Platform, Not the Seller
1.1 NewVia provides booking, scheduling and business-management software. Where you enable payments, NewVia provides the technical integration to a licensed third-party payment provider that offers a marketplace/platform (sub-merchant) API (each a "Payment Provider").
1.2 You are the merchant of record for every transaction between you and your Clients. You — not NewVia — sell and deliver the services booked, set your prices, and are responsible for the quality, legality, safety and delivery of those services.
1.3 NewVia is not a party to the contract between you and your Client, is not a payment institution, money services business, or deposit-taking institution, and does not provide financial advice.
1.4 Your Clients' payments are processed by the Payment Provider under a direct contractual relationship between you and that Payment Provider. Your use of the Payment Provider is subject to its own terms, acceptable-use rules and privacy policy, which prevail over these Merchant Terms in the event of a conflict on payment matters.
2. Connected Account, Onboarding and Verification
2.1 To accept payments you must open and maintain in good standing a connected payment account with the applicable Payment Provider, in the name of the legal entity or individual actually operating your business.
2.2 Identity, business and beneficial-ownership verification (KYC/KYB), risk assessment, and ongoing due diligence are carried out by the Payment Provider. You must provide accurate, complete and current information and documentation, including any valid licence or registration required for your services, and must update it promptly when it changes.
2.3 You authorise NewVia to transmit the information you supply to the Payment Provider for onboarding, verification, risk screening, sanctions screening and fraud prevention, and to receive account status, payout and transaction information back in order to operate your account.
2.4 The Payment Provider may decline, limit, suspend or close a connected account at its discretion. NewVia cannot override that decision.
3. Settlement of Funds
3.1 Funds paid by your Clients settle directly into your own connected account with the Payment Provider, on that provider's payout schedule and subject to any reserve, hold or verification requirement it applies.
3.2 NewVia does not hold, pool, control or take custody of Client funds and does not act as an escrow agent, trustee or payment intermediary for those funds.
3.3 NewVia's platform fees (and applicable Payment Provider processing fees) are deducted per transaction or invoiced separately, as disclosed to you before you enable payments. Fees are exclusive of taxes.
3.4 Delays or failures in settlement caused by the Payment Provider, your bank, verification requirements, or risk holds are outside NewVia's control.
4. Your Refund and Cancellation Terms
4.1 You set your own cancellation, no-show and refund terms for bookings. You must publish those terms and make them visible to the Client before the Client pays. NewVia operates the refund process on your behalf and applies your published terms when processing refund requests.
4.1A Minimum refund request window. Your published terms must allow a Client to raise a refund, billing or service issue for at least seven (7) calendar days from the payment date or the appointment date, whichever is later. You may offer a longer window, but not a shorter one. NewVia acknowledges Client requests within two (2) business days and resolves eligible requests within seven (7) business days; you must respond to our requests for information within two (2) business days.
4.2 You must honour your published terms. Approved refunds are issued from your connected account to the Client's original payment method, within the timeframe required by your Payment Provider and applicable law. NewVia provides the tooling and operational workflow to initiate refunds; NewVia does not fund refunds from its own account.
4.3 NewVia's own Refund & Cancellation Policy applies only to NewVia subscription fees and does not govern payments made by Clients to you. Client-facing disclosure of how booking payments work is set out in Booking Payments & Refunds.
5. Chargebacks and Disputes
5.1 Chargebacks, disputes, reversals, refunds and related fees arising from your transactions are your financial responsibility. The Payment Provider may debit your connected account, withhold payouts or apply a reserve to cover them.
5.2 NewVia operates the dispute workflow on your behalf. When a dispute notification is received, NewVia will notify you, collect the evidence required by the Payment Provider (such as booking records, your published terms, attendance records and communications), and submit it within the deadline set by the Payment Provider. You must cooperate promptly and provide accurate, complete evidence when requested.
5.3 You must not attempt to discourage a Client from exercising a legitimate right of dispute, and must not use refunds or credits to circumvent card network rules.
5.4 Sustained excessive dispute or fraud rates may result in suspension by the Payment Provider or by NewVia.
6. Acceptable Use and Prohibited Activity
6.1 You may only accept payments for services you actually provide, within the categories permitted by our Prohibited & Restricted Businesses list and by your Payment Provider's own restricted-business rules.
6.2 You must not:
(a) process a transaction for any other person or business, or otherwise engage in transaction laundering, aggregation, or factoring; (b) use the platform to give cash advances, buy or sell currency, transfer money, or process transactions unrelated to your booked services; (c) submit a payment that the Client has not authorised, or split a single sale into multiple transactions to evade limits or controls; (d) accept payment for illegal, unlicensed or misrepresented services, or make health, medical or outcome claims you cannot substantiate; (e) breach sanctions, anti-money-laundering, counter-terrorism-financing, consumer-protection, tax, or data-protection laws applicable to you.
6.3 You are solely responsible for determining, charging, collecting and remitting any taxes (including SST/GST/VAT) due on your sales, and for issuing valid receipts or invoices to Clients.
7. Suspension
NewVia may suspend or disable payment acceptance on your account, immediately and without prior notice, where we reasonably believe there is suspected fraud, unauthorised or prohibited activity, a material breach of these Merchant Terms, an excessive dispute or refund rate, a legal or regulatory requirement, or where instructed to do so by a Payment Provider, card network, or competent authority. Suspension of payment acceptance does not by itself terminate your NewVia subscription.
8. Data Protection
Each of NewVia, you, and the Payment Provider processes Client personal data in the roles described in our Privacy Policy. You act as the controller of your Client data; NewVia processes it on your instructions to provide the Services; the Payment Provider acts as an independent controller for payment, verification and fraud-prevention data. You must give your Clients a lawful, accurate privacy notice covering the payment flow.
9. Indemnity
You will indemnify and hold harmless NewVia and its officers, employees and agents from and against any claim, loss, liability, fine, penalty, chargeback, fee, or reasonable cost (including legal fees) arising out of or in connection with: the services you sell; your refund, cancellation or no-show terms; your breach of these Merchant Terms, applicable law, or a Payment Provider's rules; or any dispute between you and a Client.
10. Term, Termination and Changes
10.1 These Merchant Terms apply for as long as payments are enabled on your account. Either party may end payment acceptance at any time; obligations relating to chargebacks, refunds, fees, indemnity and record-keeping survive.
10.2 We may update these Merchant Terms. Material changes will be notified via the Services or by email at least fourteen (14) days before they take effect, except where an earlier change is required by law, a Payment Provider, or a card network.
11. Governing Law
These Merchant Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute arising from them.
